Terms of Service

The terms that govern your use of the Helm Shift platform.

Last updated: June 2026 Operated by: Helm Shift, founded by Tyler MacDougall, Halifax, Nova Scotia, Canada

1. Agreement

By creating an account, accessing, or using Helm Shift ("the Service"), you ("Customer," "you") agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and Helm Shift, founded and operated by Tyler MacDougall in Halifax, Nova Scotia, Canada.

2. The service

Helm Shift is a software platform designed to help independent restaurants manage scheduling, inventory, and operations through an AI-powered assistant. The Service is provided as a subscription, billed monthly or annually in advance, with no long-term contract required.

Important: Helm Shift is a planning, communication, and analysis tool. We do not process payroll, file taxes, give legal or financial advice, or replace licensed professionals. For payroll processing, tax compliance, employment law questions, or workers' compensation matters, you must use a qualified payroll provider, accountant, or lawyer.

3. Account registration

To use Helm Shift, you must create an account and provide accurate, current information. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Subscription, billing, and cancellation

  • Pricing: Helm Shift is offered on a month-to-month or annual basis. Pricing is published on the website and may be updated; existing customers will be given 30 days notice before any price change.
  • Founder pricing: Customers who sign up during the founder pricing period receive a locked-in rate that does not increase for as long as the account remains in good standing and continuously active.
  • Billing: Subscriptions are billed in advance on a monthly or annual cycle, per the plan you choose. Monthly payment is due on the same date each month based on your start date; annual subscriptions renew on your start-date anniversary.
  • Cancellation: You may cancel anytime by emailing [email protected]. Cancellation takes effect at the end of the current billing cycle. Helm Shift does not provide refunds for partial months.
  • Trial period: New accounts receive a 30-day free trial with no payment card required. No charge is made unless you choose a paid plan after the trial; cancelling during the trial costs nothing. Where a different trial has been agreed in writing, that agreement governs.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or in violation of any applicable law.
  • Attempt to access, modify, or interfere with the Service's infrastructure, source code, or other customers' data.
  • Use the Service to send spam, harass others, or distribute malicious software.
  • Reverse-engineer, decompile, or otherwise attempt to extract the source code.
  • Resell, sublicense, or redistribute the Service to third parties without our written consent.

6. Customer data

You retain all rights to data you input into Helm Shift ("Customer Data"). By using the Service, you grant Helm Shift a limited license to host, process, and display your Customer Data solely to provide the Service.

You are solely responsible for the accuracy, legality, and integrity of Customer Data you input. You represent that you have all necessary rights to share employee, supplier, and other operational data with Helm Shift.

7. AI features and limitations

Helm Shift includes AI-powered features that generate suggestions, summaries, and analysis. You acknowledge that:

  • AI outputs are informational only and may contain errors or omissions.
  • AI outputs are not legal, financial, tax, employment, or professional advice.
  • You are responsible for verifying AI suggestions before acting on them, particularly in matters involving employment law, taxes, or compliance.
  • Helm Shift is not liable for decisions made based on AI-generated content.

8. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Helm Shift disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content (including AI outputs) will be accurate or reliable.

9. Limitation of liability

To the maximum extent permitted by law, Helm Shift and its founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service.

Helm Shift's total cumulative liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Helm Shift and its founder from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time if you breach these Terms or if continuing to provide the Service to you would expose Helm Shift to legal or operational risk. We will provide reasonable notice when possible.

Upon termination, your right to access the Service ends. We will provide a reasonable opportunity (at least 30 days) for you to export your Customer Data before deletion.

12. Service modifications

Helm Shift is in active development. We may modify, add, or remove features at any time. We will not materially reduce core functionality without reasonable notice. Continued use of the Service after changes constitutes acceptance of those changes.

13. Governing law

These Terms are governed by the laws of the Province of Nova Scotia, Canada, and the federal laws of Canada applicable therein. Any dispute arising from these Terms or the Service shall be resolved in the courts of Nova Scotia.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, notify you by email or through the platform. Your continued use of the Service after notice constitutes acceptance.

15. Entire agreement

These Terms, together with the Privacy Policy and any signed service agreement, constitute the entire agreement between you and Helm Shift regarding the Service and supersede all prior or contemporaneous understandings.
